These Terms of Service ("Terms") govern your access to and use of the ButterStack website at butterstack.com and our platform services (collectively, the "Service") provided by ButterStack Software ("ButterStack," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you represent that you are at least 16 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.

3. Description of Service

ButterStack provides a game development pipeline platform that includes asset management, build automation, version control integrations, and related tools. The specific features available to you depend on your subscription plan.

4. Subscriptions and Payments

• Free Plan: We offer a free tier with limited features. No payment is required for the free plan.
• Paid Plans: Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select.
• Payment: All payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.
• Price Changes: We may change our prices from time to time. We will provide you with at least 30 days' notice before any price change takes effect on your subscription.
• Refunds: Payments are non-refundable except where required by law. If you cancel a paid subscription, you will continue to have access to your paid plan features until the end of your current billing period.

5. Your Content

• Ownership: You retain all rights to the content, data, and materials you upload, submit, or make available through the Service ("Your Content"). We do not claim ownership of Your Content.

• By You: You may cancel your account at any time. Upon cancellation, your right to use the Service will cease at the end of your current billing period.

• Effect of Termination: Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days following termination, after which we may delete it.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUTTERSTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless ButterStack and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Suffolk County, Massachusetts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you by email. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ButterStack regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
